Two Yanson factions elect respective officers for Rural Transit Mindanao

BACOLOD City – The feuding factions of the Yanson family elected their respective boards after holding separate organization meetings of the Rural Transit in Mindanao Inc (RTMI).

This is still an offshoot of the clan’s ongoing conflict over the control of their bus empire.

In a press statement sent to Daily Guardian Thursday, Atty. Carlo Joaquin Narvasa said the annual meeting of RTMI was held February 10, 2021 at the Seda Centro Hotel, Cagayan de Oro.

Narvasa is the legal counsel of Yanson siblings Roy, Emily, Ma. Lourdes Celina Lopez, and Ricardo Jr.

John Matthew Medina presided over the meeting as proxy for Roy V. Yanson, its President and Chairman of the Board of Directors.

It was attended by stockholders representing 61.17 percent of the outstanding capital stock of the corporation.

Narvasa said that the four Yanson siblings along with Jerina Louise Y. Ramos, and Matthew Agustin Y. Lopez were elected by the shareholders anew as members of the Board of Directors for years 2021-2022.

The shareholders ratified all acts and transactions of the Board of Directors and Management of the corporation under the leadership of its president Roy V. Yanson.

The press statement further said that in the organizational meeting that followed, the directors elected Roy V. Yanson as chairman of the board of directors and president, Ma. Lourdes Celina Y. Lopez as vice-president for operations, Emily V. Yanson as treasurer and chief financial officer, Ricardo V. Yanson Jr. as Corporate Secretary, Anna Isabellea Galvez as Assistant Corporate Secretary, and Carlo Joaquin Narvasa as Vice President for Legal.

The new directors of the company also vowed “to continue actions to unravel the minority shareholders’ activities and their pretense to act on behalf of the company despite the absence of any legal basis for them to do so.”

In a separate press statement, the group of the Yanson matriarch Olivia and children Leo Rey and Ginette Dumancas also held on Wednesday their own meeting to elect the officers of the same company.

The three together with Charles M. Dumancas, Rey C. Ardo, Anita G. Chua, and Daniel Nicolas P. Golez were re-elected as members of RTMI’s board of directors.

Following the election of the directors, the Board held an organizational meeting wherein Leo Rey V. Yanson was re-appointed as Chairman of the Board and President of RTMI, while Olivia V. Yanson was re-appointed as Corporate Secretary and Treasurer, the press statement said.

Despite proper and timely notice, stockholders Roy V. Yanson (“Roy”), Ricardo V. Yanson, Jr. (“Ricky”), Ma. Lourdes Celina Y. Lopez (“Celina”), Ma. Susan F. Yanson, and Juan Manuel Lopez were absent, it further said.

Leo Rey V. Yanson assured the public that despite the challenges faced in 2020, RTMI remains strong and resilient.

“It continues to be steadfast in its goal to serve the Filipino people. RTMI remains committed to providing the riding public with the most reliable means of public transportation for all,” the statement added.
